GLOBAL EXCHANGE R&E CORPORATION

Agent Representation Agreement

Version GEX-ARA-1.0

This agreement governs an approved independent referral representative or mandate facilitator relationship with Global Exchange R&E Corporation and its authorized operating companies.

1. Appointment and authorization

No applicant is an authorized representative until Global Exchange completes its review, verifies required identity information, approves the application, and records the applicable engagement contract.

2. Identity and compliance

The applicant must provide government-issued identification information for verification and keep submitted information accurate. Verification status is recorded by the company; submission of an application does not itself constitute approval.

3. Referral attribution

Website and CRM referrals are attributed using the agent code, representative information, territory, mandate reference and source information available at the time of the lead. Attribution remains subject to verification and the applicable contract.

4. Referral compensation

For an approved referral-only relationship, the standard CRM rule is a 1% lead-generation referral commission where the executed agreement provides for it. Where applicable, a referral may remain eligible for residual commission for up to 12 months from the qualifying contract, subject to the executed agreement, revenue realization, verification and release conditions.

5. Mandate facilitators and employees

Mandate facilitators are compensated according to the separate mandate/facilitation terms applicable to their involvement. Employees are governed by separate employment and compensation arrangements and are not treated as referral agents merely by virtue of employment.

6. Earthman Herbal

Earthman Herbal referrals are administered under the approved five-tier associate marketing compensation package for that business, with tier eligibility and rates maintained in the applicable Earthman Herbal compensation plan rather than the standard Global Exchange 1% referral rule.

7. Application fee

New agents pay US$20 at signup and annually thereafter. The initial US$80 balance is carried on the agent account and paid over time from earned commissions. This deferred balance does not block signup. Commission deductions and the remaining balance must appear on the agent statement; finance records each agreed deduction. Fee status is recorded separately from approval status; payment does not guarantee acceptance.

8. Confidentiality and conduct

Representatives must protect confidential information, avoid unauthorized commitments, accurately describe Global Exchange opportunities, and comply with applicable law and company instructions.

9. No authority to bind

An agent may not bind Global Exchange, sign contracts on its behalf, make representations outside an approved mandate, or collect funds unless expressly authorized in writing.

10. Termination

The company may suspend or terminate an agent relationship according to the executed agreement and applicable law.

This web version is a controlled template for application and onboarding workflow and should be reviewed for the relevant jurisdiction before execution.
